Job Description:
Our two-year paralegal position offers a unique experience for recent college graduates who are considering law school. The Moelis legal team is made up of eight full time attorneys.
This position is ideal for candidates who wish to be an integral part of a highly functioning legal team all while assisting and gaining experience in the following areas:
- Board of Directors matters including the management of annual board agenda, managing board materials process, drafting agendas, minutes and resolutions, collecting board consents, coordination and preparation for meetings;
- Matters related to proxy statement filings, including process management, collecting, reviewing and incorporating feedback, and coordination between internal and external teams;
- Corporate Governance matters including SEC filings (Section 16, annual, quarterly, 8-K), D&O questionnaires, annual meetings, other public filings;
- Entity management, including the maintenance of structure charts, director and officer appointments/resignations, and navigating requests related to the above;
- Compliance matters and regulatory requirements;
- Litigation matters, including responding to subpoenas, discovery and record requests;
- Research and analysis related to corporate transactions, with an emphasis on mergers & acquisitions, securities offerings and restructurings;
- Additional Corporate Secretary matters including drafting organizational consents, obtaining and maintaining corporate records and documents;
- Collaborating with other internal teams, stakeholders and bankers, while building and fostering those relationships; and
- Ongoing support for various ad hoc projects.
Minimum Job Qualifications
- Undergraduate degree
- Willing to make a commitment of two years to Moelis
- Willing to work in-office four days per week
- Dedicated work ethic and strong interpersonal skills
- Excellent organizational skills, strong attention to detail
- Solid computer skills specifically the Microsoft Office suite
- Ability to use discretion when maintaining confidential and sensitive information
- Ability to handle numerous projects and deadlines
- Resourcefulness and an ability to participate in a fast paced and highly collaborative team environment.
Expected Salary: $55,000 (non-exempt)
